TERMS AND CONDITIONS OF SALE AND USE

Effective Date: February 13, 2026

1. ACCEPTANCE

These Terms and Conditions ("Terms") govern all sales of products and services by Consolidated Group, LLC ("Company"). By purchasing products, submitting orders, or accessing the Company’s website, Customer agrees to these Terms.

2. ENTIRE AGREEMENT

These Terms, together with any written quotation or invoice issued by the Company, constitute the entire agreement between the parties and supersede all prior understandings. No modification shall be binding unless in writing and signed by the Company.

3. PAYMENT TERMS

Payment terms shall be as stated in the applicable invoice or written agreement. Late payments shall accrue interest at the maximum rate permitted by Texas law. Customer shall be responsible for reasonable collection costs, including attorneys’ fees.

4. SHIPPING; RISK OF LOSS

Delivery dates are estimates only. Risk of loss transfers to Customer upon shipment unless otherwise stated in writing. The Company is not liable for delays caused by events beyond its reasonable control.

5. FORCE MAJEURE

The Company shall not be liable for failure or delay in performance due to acts of God, natural disasters, labor disputes, supply chain disruptions, governmental actions, transportation interruptions, or other events beyond its reasonable control.

6. RETURNS

Returns require prior written authorization. Products must be unused and in original condition unless defective. Restocking fees may apply. Customer bears return shipping costs unless otherwise agreed in writing.

7. LIMITED WARRANTY; DISCLAIMER

Any warranty is limited to that expressly provided in writing. EXCEPT AS EXPRESSLY PROVIDED, ALL PRODUCTS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

The Company does not warrant that products will prevent all spills, environmental incidents, regulatory violations, or losses. Customer is solely responsible for proper installation, use, inspection, and compliance with applicable laws and regulations.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR ENVIRONMENTAL REMEDIATION COSTS.

THE COMPANY’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

9. INDEMNIFICATION

Customer shall indemnify, defend, and hold harmless the Company and its affiliates from any claims, liabilities, damages, penalties, fines, or expenses arising out of Customer’s misuse, improper installation, modification, negligence, or failure to comply with applicable laws.

10. INTELLECTUAL PROPERTY

All designs, product configurations, documentation, and materials are proprietary to the Company. Customer shall not copy, reverse engineer, or reproduce such materials without written consent.

11. ELECTRONIC COMMUNICATIONS

By submitting contact information, Customer consents to receive communications via email, telephone, or SMS consistent with applicable law and the Company’s Privacy Policy and SMS Messaging Terms.

12. DISPUTE RESOLUTION; VENUE; WAIVER

These Terms are governed by Texas law. Venue shall lie exclusively in Jefferson County, Texas. The parties waive any right to a jury trial to the fullest extent permitted by law.

13. NOTICES

All legal notices or formal communications required or permitted under these Terms shall be in writing and delivered to:

Notices shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or transmitted by email to the address listed above. The Company may update its notice information by posting revised contact information on its website.

14. SEVERABILITY

If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect.
